End user license agreement

This end user license agreement (“Agreement”) is a legal agreement between you (either on behalf of yourself as an individual or on behalf of some other person including a body corporate as its authorised representative) and PharmaLex Ireland.
By checking the Agreement checkbox and downloading, installing, copying or otherwise using PharmaLex Ireland information/documentation you agree to be bound by all of the terms of this Agreement. If you do not agree to the terms of this agreement, click on the “Cancel” button and/or do not download, install, copy or otherwise use the software.


1) Defined Terms

As used in this Agreement, the term “Documentation” refers to PharmaLex Ireland Documentation which you have selected to download. It also refers to works that are created and fixed in print, electronic, fax, cd-rom, and other formats, including electronic mail, now known or developed hereafter. The term “Documentation” shall also include any upgrades, modified versions or updates of the Documentation made available to you by PharmaLex Ireland. The Documentation is deemed accepted by you once you download or open it. Any PharmaLex Ireland software that may be made available to download or purchase from this Web Site is herein referred to as “Software”. Any Subscription Service that you sign up to on this Web Site is herein referred to as “Subscription Service”.


2) Grant of License

Subject to the terms of this Agreement, PharmaLex Ireland hereby grants you a perpetual, non-exclusive, nontransferable license to:

I View, print material and temporarily store materials in conducting personal non-commercial research, study, education provision and learning efforts. View, print material and temporarily store materials from this website for internal use only provided that copying fees are paid appropriately.


3) License Restrictions

You may not reproduce, distribute, transmit (whether by print, fax, electronic or other means), modify, alter, or create derivative works of the materials contained in the website of PharmaLex Ireland without prior written permission from PharmaLex Ireland. You may not:

  • reverse engineer, decompile or disassemble the Software;
  • modify or create derivative works based upon the Software and/or Documentation in whole or in part;
  • distribute copies of the Software and/or Documentation;
  • remove any proprietary notices or labels on the Software and/or Documentation, or
  • resell, lease, rent, transfer, sublicense, or otherwise transfer rights to the Software and/or Documentation.

Any use in violation of this section shall immediately terminate your license to use the Software and/or Documentation


4) Title

You agree that no title to the intellectual property in the Documentation, Subscription Services is transferred to you. Title, ownership, rights, and intellectual property rights in and to the Documentation and Software shall remain in PharmaLex Ireland. The Documentation and Software is protected by intellectual property laws of Ireland and other countries and by international treaties.


5) No Warranty

You acknowledge that performance of the Software may be affected by any number of factors, including without limitation, technical failure of the software, the acts or omissions of third parties and other causes reasonably beyond the control of PharmaLex Ireland.

The content that is posted on the website of PharmaLex Ireland may contain inaccuracies or typographical errors. PharmaLex Ireland makes no warranties about the accuracy, reliability, completeness, or timeliness of the website, the material or other posted content, services, software, text, graphics, and links.

PharmaLex Ireland disclaims all warranties, whether express or implied, including the warranty of PharmaLex Ireland merchantability, fitness for a particular purpose, and non-infringement of copyright to the fullest extent permitted by law.

PharmaLex Ireland does not warrant that the website will operate error-free or that the website and its server are free of computer viruses or other harmful mechanism. If your use of the Web Site or the material results in the need for servicing or replacing equipment or data, PharmaLex Ireland is not responsible for those costs.


6) Limitation of Liability

In no event shall PharmaLex Ireland be liable to you or any third party for any consequential, special, incidental or indirect damages of any kind arising out of or relating to the software or the use thereof (including but not limited to damages or costs incurred as a result of loss of time, loss of data, loss of profits or revenue, or loss of use of the software or subscription services or other economic loss), regardless of the form of action, whether in contract, tort, negligence, or otherwise, even if PharmaLex Ireland has been advised of the possibility of such damages.


7) Termination

This Agreement shall terminate automatically if you fail to comply with the terms of this Agreement. No notice shall be required from PharmaLex Ireland to effect such termination.


8) Miscellaneous

  • Severability – in the event of invalidity of any provision of this Agreement, the parties agree that such invalidity shall not affect the validity of the remaining portions of this Agreement.


  • Waiver – no term or provision hereof will be considered waived by either party, and no breach excused by either party, unless such waiver or consent is in writing signed on behalf of the party against whom the waiver is asserted. No consent by either party to, or waiver of, a breach by either party, whether express or implied, will constitute a consent to, waiver of, or excuse of any other, different or subsequent breach by either party.


  • Survival – all defined terms of section 1 shall survive any termination of this Agreement.


  • Governing Law – this Agreement shall be governed by the Laws of the Republic of Ireland


  • Entire Agreement – you agree that this is the entire agreement between you and PharmaLex Ireland, and that it supersedes any prior agreement, whether written or oral, and all other communications between you and PharmaLex Ireland relating to the subject matter of this Agreement. This Agreement may be amended, modified or supplemented only by a writing that is signed by the authorised representatives of both parties.


  • Reservation of Rights – all rights not expressly granted in this Agreement are reserved by PharmaLex Ireland.
  • Third-Party Products and Services – the Site may contain mention of third-party products and services for informational purposes. Third party products and services are the products and services of such third parties and PharmaLex Ireland does not warrant impliedly or expressly the quality and/or reliability of such third party products and services. PharmaLex Ireland makes no recommendations or endorsements about third-party products and services. References to third-party services and products are provided by PharmaLex Ireland “as is,” without warranty of any kind, either express or implied, or statutory, including, but without limitation, the implied warranties of noninfringement of third party rights, merchantability, and fitness for a particular purpose.
    By its use of this Documentation and Software, User acknowledges that he/she has read the foregoing “disclaimer of warranties and limitation of liability” and agrees to be bound thereby. Further, the User understands that the foregoing represents the entire Agreement between PharmaLex Ireland and the User regarding use of this Software and Documentation. No employee, agent, or other representative of PharmaLex Ireland has any authority to expand the scope of this warranty or to otherwise bind PharmaLex Ireland or with respect thereto.
